Terms of Service

Last updated: 22 May 2026

These Terms govern your use of rhooalabs.com and any services provided by Rhooa Labs. By using the site or engaging us, you agree to these Terms. They are written to be short and plain, but they are still binding.

1. Agreement

By accessing rhooalabs.com or engaging Rhooa Labs for any service, you agree to be bound by these Terms. If you do not agree, you should not use the site or our services. We may amend these Terms from time to time as described in section 12.

2. Our services

Rhooa Labs is an AI solutions studio based in Greece. We provide AI audits, custom AI agents and digital employees, team training and workshops, and related advisory services. The specific scope, deliverables, and price of each engagement are set out in a separate written proposal or statement of work signed by both parties. Those documents take precedence over any general description on this website.

3. Eligibility

You must be at least 18 years old to use this site or engage our services. If you are acting on behalf of a business or organisation, you confirm that you are authorised to enter into binding agreements for that business.

4. Engagements and payment

Each engagement is governed by a written proposal that specifies scope, deliverables, timeline, and fees. Fees are stated in Euros (€) and are exclusive of VAT unless noted otherwise. Invoices are payable within 14 days unless the proposal states a different term. Late payment may incur statutory interest under applicable Greek and EU law. Out-of-scope work is quoted separately before it begins.

5. Intellectual property

Rhooa Labs retains ownership of all underlying methods, frameworks, templates, prompt libraries, and proprietary tooling we use to deliver services. Upon full payment, the client receives a non-exclusive, perpetual, worldwide licence to use the specific deliverables produced for the engagement for the client's own internal business purposes. Custom code or content written specifically for the client and not based on our pre-existing tooling is assigned to the client upon full payment of the relevant invoice. The client retains ownership of all data and business content they provide to us.

6. Confidentiality

Both parties agree to protect any non-public information shared during an engagement and to use it only for the purposes of that engagement. Confidentiality obligations survive termination of the engagement. Information that is public, independently developed, or required to be disclosed by law is not confidential under this clause.

7. Data protection

We process personal data in accordance with our Privacy Policy and applicable EU data protection law (GDPR). Where an engagement involves us processing personal data on behalf of a client, the parties will sign a Data Processing Agreement (DPA) before any such processing begins.

8. Third-party tools and models

Our deliverables often integrate third-party services and AI models, for example OpenAI, Anthropic, Google, Microsoft, and workflow tools such as n8n. Your use of those services is also subject to their own terms and acceptable use policies. We are not responsible for changes to, pricing of, or downtime of third-party services, though we will assist the client in adapting where reasonably possible.

9. Disclaimers and limitation of liability

Our services and deliverables are provided on a best-effort, "as-is" basis. AI systems produce probabilistic output and may make mistakes; the client is responsible for human oversight of any AI agent we deploy in their operation, especially for decisions with legal, financial, or safety consequences. To the maximum extent permitted by law, Rhooa Labs' total liability for any claim arising out of or relating to an engagement is limited to the fees paid by the client for that engagement in the twelve (12) months preceding the claim. We are not liable for indirect, consequential, incidental, or lost-profit damages. Nothing in these Terms limits liability that cannot be limited by law (such as gross negligence or wilful misconduct).

10. Termination

Either party may terminate an engagement for material breach by giving 30 days' written notice, provided the breach has not been cured within that period. Either party may terminate immediately for insolvency or repeated unremedied breach. Fees for work properly completed up to the termination date remain payable. The provisions on confidentiality, intellectual property, data protection, and limitation of liability survive termination.

11. Governing law

These Terms and any engagement entered into with Rhooa Labs are governed by the laws of the Hellenic Republic. The courts of Athens, Greece have exclusive jurisdiction over any dispute, except that either party may seek interim or injunctive relief in any competent jurisdiction.

12. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent change. For material changes that affect active clients, we will provide notice by email at least 14 days before the changes take effect. Continued use of the site or our services after that date constitutes acceptance of the updated Terms.
